Terms of Service
The agreement for using MoonBot.
Please read these Terms carefully. They contain risk allocations, warranty disclaimers, limits of liability, and dispute terms.
1. Agreement and operator
These Terms of Service, together with the Privacy Policy and Risk Disclosure, form a binding agreement between you and the operator of the MoonBot software and services, referred to as “MoonBot,” “we,” “us,” or “our.” By creating an account, downloading software, connecting a receiver, or using the service, you agree to this agreement. If you do not agree, do not use MoonBot.
Questions and legal notices may be submitted through the support channel shown in your account portal. A legal notice is effective only when receipt is confirmed by us.
2. Eligibility
You must be at least 18 years old, have legal capacity to enter this agreement, and be permitted to use futures-related software where you live. You may not use MoonBot if you are subject to sanctions, trade restrictions, or laws that prohibit the service. You are responsible for determining whether your broker, proprietary trading firm, employer, exchange, market-data provider, and local law permit your use.
3. What MoonBot is
MoonBot is software that can analyze market data, produce trading-related signals, request an additional model review, display research, and transmit instructions to a locally selected trading account when enabled by the user. Features may be experimental, delayed, unavailable, modified, or removed.
MoonBot is not a broker, futures commission merchant, commodity trading advisor, investment adviser, fiduciary, exchange, custodian, bank, or tax adviser. MoonBot does not hold customer funds, place trades independently of user-configured authorization, or guarantee that any broker or platform will accept an instruction.
4. No advice, recommendation, or guarantee
Content, model output, alerts, signals, statistics, dashboards, documentation, and support are provided for software and informational purposes. They are not individualized investment, legal, accounting, or tax advice. You make every trading and account decision yourself.
No statement by MoonBot, Terra, a model, an employee, a contractor, a community member, or marketing material is a promise of profit, win rate, drawdown, funding, account eligibility, or future performance. No software can eliminate trading risk or prevent all losses.
5. Trading and technology risk
Futures trading can result in rapid and substantial loss, including losses greater than the amount deposited. Leverage, volatility, gaps, slippage, partial fills, rejected orders, data errors, network failure, platform failure, model error, configuration error, and market events can produce results different from the displayed plan.
You must read the separate Risk Disclosure before use. You are solely responsible for account selection, quantity, risk limits, market-data subscriptions, connectivity, broker permissions, platform settings, monitoring, and emergency intervention. You must be able to cancel orders and flatten positions without MoonBot.
6. Simulated, hypothetical, and research results
Simulated or hypothetical performance has inherent limitations. It does not represent actual trading, may not account for liquidity or market impact, can benefit from hindsight, and may differ materially from results achieved by any account. Past performance, whether actual or simulated, is not necessarily indicative of future results.
Unless a result is expressly labeled as an actual, reconciled brokerage fill, treat it as simulated, hypothetical, replay-derived, or research-only. You may not remove or obscure any disclosure attached to performance information.
7. Account security and API keys
You must provide accurate information, protect your password, API keys, provisioning files, device credentials, and computer, and notify us promptly of suspected compromise. You are responsible for activity performed through your credentials until you revoke them or notify us. Do not share access, publish secrets, bypass security controls, or allow unauthorized users to operate your account.
API keys are enrollment and integration credentials. Possession of an API key does not itself authorize trading. Device and execution authorization remain separate. We may revoke sessions, keys, or devices that appear compromised or violate these Terms.
8. Software license and acceptable use
Subject to these Terms and any payment obligations, MoonBot grants you a limited, personal, revocable, non-exclusive, non-transferable license to install and use the customer software on devices you control. You may not resell, sublicense, copy, publish, reverse engineer, probe, scrape, disrupt, bypass access controls, extract models, impersonate another person, misuse market data, or use the service to violate law or third-party rights, except where a restriction is prohibited by law.
9. Third-party services and market data
MoonBot depends on services that we do not control, including NinjaTrader, brokers, exchanges, market-data vendors, hosting providers, internet providers, and model providers. Their terms, fees, entitlements, outages, and decisions apply separately. You must obtain and maintain every required license and subscription. We are not responsible for third-party services, data accuracy, platform behavior, account rules, evaluation-program outcomes, or a third party’s decision to suspend or close an account.
10. Fees, renewals, and taxes
If paid plans are offered, the price, billing period, included features, and renewal terms shown at checkout are incorporated into these Terms. You authorize the stated charges and are responsible for applicable taxes. Unless law or the checkout terms require otherwise, fees already paid are non-refundable. We may change future pricing with notice before the next renewal.
11. Changes, suspension, and termination
We may update the service and these Terms. Material changes will be presented through the site, portal, or another reasonable channel and apply prospectively from the stated effective date. We may suspend or terminate access to protect users, systems, third parties, or legal compliance. You may stop using MoonBot and request account deletion at any time. Terms that by their nature should survive termination will survive, including risk allocation, ownership, disclaimers, liability limits, and dispute provisions.
12. Ownership and feedback
MoonBot and its software, design, documentation, models, trademarks, and other content are owned by MoonBot or its licensors. No ownership transfers to you. You retain ownership of information you submit. If you voluntarily provide feedback, you grant MoonBot a worldwide, perpetual, royalty-free right to use it without obligation to you.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONBOT IS PROVIDED “AS IS” AND “AS AVAILABLE.” MOONBOT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, PROFITABLE, COMPATIBLE, OR SAFE FROM EVERY ATTACK OR FAILURE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONBOT AND ITS OWNERS, AFFILIATES, PERSONNEL, CONTRACTORS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR LOST PROFITS, TRADING LOSSES, LOST OPPORTUNITIES, LOSS OF DATA, BUSINESS INTERRUPTION, ACCOUNT CLOSURE, OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ALL MOONBOT PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNT YOU PAID MOONBOT DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
15. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the MoonBot parties from third-party claims, losses, and reasonable costs arising from your trading, account, credentials, configuration, violation of these Terms, violation of law, misuse of market data, or infringement of third-party rights. We may control the defense of a covered claim, and you will reasonably cooperate.
16. Disputes and governing law
Before filing a claim, each party will give written notice and attempt in good faith to resolve the dispute for 30 days. Unless applicable consumer law requires otherwise, this agreement is governed by the laws of Illinois, without regard to conflict-of-law rules, and any permitted court proceeding must be brought in a state or federal court located in Cook County, Illinois. Each party waives a jury trial to the extent permitted by law.
Claims must be brought individually and not as a plaintiff or class member in a class, consolidated, or representative action, to the extent permitted by law. Nothing in these Terms prevents either party from seeking urgent injunctive relief for misuse of credentials, intellectual property, or systems.
17. General
These Terms, the Privacy Policy, Risk Disclosure, and checkout terms are the entire agreement about MoonBot. If one provision is unenforceable, it will be limited to the minimum extent necessary and the remainder stays effective. A failure to enforce a provision is not a waiver. You may not assign this agreement without our consent. We may assign it in connection with a reorganization, financing, sale, or transfer of the service. Section headings are for convenience only.
